Terms of Service

1. Acceptance of Terms

By accessing or using SAASAF.AI ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These Terms apply to all users including visitors, registered vendors, registered resellers, and enterprise customers.

2. Account Terms

To list as a vendor or apply as a reseller, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information during registration. You must be at least 18 years old to create an account.

We reserve the right to refuse, suspend, or terminate any account at our sole discretion, including for violations of these Terms, fraudulent activity, or non-payment.

3. Vendor Obligations

As a vendor listing on the Platform, you represent and warrant that:

• You have full authority to list the product and offer the commission terms specified.
• The product is real, working, billable software with paying customers.
• You will honor commission terms as published, including refund-aware adjustments and recurring commission durations.
• You will pay reseller commissions on time and in accordance with the published payout schedule.
• You will not engage in commission shaving, attribution manipulation, or any practice that reduces a reseller's earned commission below the contractually agreed amount.
• You will respond to reseller inquiries and disputes in good faith within 5 business days.

4. Reseller Obligations

As a reseller using the Platform, you represent and warrant that:

• You have a real audience or distribution channel that you legitimately own or operate.
• You will not engage in fraudulent referrals, cookie stuffing, click fraud, self-referrals, or any practice designed to manufacture commissions without genuine customer activity.
• You will comply with FTC disclosure rules, applicable advertising laws in your jurisdiction, and the marketing guidelines of each vendor whose product you promote.
• You will not use trademarks, brand bidding, or paid search terms in ways that violate vendor policies.
• You will not represent yourself as the vendor or as an employee of the vendor.

5. Payment Terms

Vendor subscription fees (Pro, Enterprise) are billed monthly or annually in advance via the payment method on file. Failed payments will result in account suspension after a 7-day grace period. Reseller commissions are paid out 30 days after the end of each billing cycle, net of any refunds, chargebacks, or fraud reversals during that window. Payouts are issued via Stripe Connect. Resellers are responsible for any tax obligations on commissions earned. SAASAF.AI does not withhold taxes except where required by law.

6. Platform Fees

The Platform charges a flat 20% commission share on reseller earnings. Resellers retain 80% of every commission earned. Vendors are not charged transaction fees on the first 100 sales generated through the Platform; thereafter a 5% transaction fee applies. Pricing is subject to change with 30 days' notice to active accounts.

7. Intellectual Property

The Platform, including all software, content, design, branding, and underlying technology, is owned by or licensed to SAASAF.AI. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for the purposes described in these Terms. You may not copy, modify, reverse-engineer, scrape, or redistribute Platform content without express written permission. Vendor product names, logos, and marketing materials remain the property of the respective vendors. You agree not to misuse any vendor IP outside the scope of approved promotion.

8. Prohibited Conduct

You may not use the Platform to:

• Promote products or services unrelated to vendors approved on the Platform.
• Engage in spam, fraudulent traffic generation, or manipulation of attribution systems.
• Violate any applicable local, state, federal, or international law.
• Harass, abuse, or threaten other users, vendors, resellers, or staff.
• Attempt to gain unauthorized access to Platform systems or another user's account.

9. Termination

You may terminate your account at any time by canceling from the account dashboard. We may terminate or suspend your account for any breach of these Terms, fraudulent activity, or non-payment. Upon termination: outstanding earned commissions will be paid out at the next regular cycle subject to refund-window adjustments; any pre-paid subscription fees are non-refundable except as required by law; and your right to use the Platform ceases immediately.

10. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee any specific level of revenue, traffic, conversions, or commissions. We do not guarantee that the Platform will be uninterrupted, error-free, or free from security vulnerabilities. Vendor product quality, support, and refund handling are the responsibility of the vendor, not SAASAF.AI.

11. Limitation of Liability

To the maximum extent permitted by law, SAASAF.AI's total liability arising out of or related to these Terms or your use of the Platform shall not exceed the greater of (a) the amounts you paid to SAASAF.AI in the 12 months preceding the claim, or (b) $100. In no event shall we be liable for indirect, incidental, consequential, or punitive damages including lost profits, lost data, or business interruption.

12. Indemnification

You agree to indemnify, defend, and hold harmless SAASAF.AI and its affiliates, officers, employees, and partners from any claims, damages, losses, or expenses arising from your use of the Platform, your breach of these Terms, or your violation of any third-party rights.

13. Disputes

Any dispute arising under these Terms shall first be addressed by good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Florida under the rules of the American Arbitration Association. You waive any right to participate in a class action against SAASAF.AI.

14. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Exclusive venue for any non-arbitrated dispute shall be the state or federal courts located in Miami-Dade County, Florida.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to active account holders at least 30 days in advance. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
