By accessing or using SAASAF.AI (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms apply to all users, including vendors, resellers, and partners.
SAASAF.AI is operated by SAASAF.AI, LLC ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
SAASAF.AI is a two-sided SaaS reseller marketplace and back-office platform that enables:
We do not guarantee revenue, commissions, or business outcomes for any user. The Platform is a marketplace infrastructure — results depend on the quality and effort of individual users.
You must create an account to access most Platform features. You are responsible for maintaining the confidentiality of your login credentials. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate.
You may not share your account credentials with others. You are responsible for all activity that occurs under your account. Notify us immediately at info@saasaf.ai if you suspect unauthorized access to your account.
Listings. Vendors are responsible for the accuracy of all product information, pricing, commission rates, and collateral uploaded to the Platform. Misrepresenting your product to attract resellers is grounds for immediate account termination.
Commissions. You agree to honor the commission rates displayed on your listing for all approved reseller deals. Commission rates may be updated for future deals but cannot be retroactively applied to deals already in progress.
Reseller Relationships. You are responsible for managing your reseller program, including approval, communication, and conflict resolution. SAASAF.AI provides infrastructure but is not a party to vendor-reseller agreements.
Subscription Fees. Vendor subscription fees are billed monthly and are non-refundable. Downgrading your plan takes effect at the start of the next billing cycle.
Conduct. You agree to represent vendor products accurately and professionally. You may not make claims about a vendor's product that are not supported by the vendor's official materials.
Deal Registration. Registered deals are protected for the duration specified in the vendor's program terms. Deal registration does not guarantee a commission — it protects your right to pursue the opportunity.
Non-Exclusivity. Unless otherwise agreed with a specific vendor, all reseller relationships are non-exclusive. You may represent competing products simultaneously.
Commission payouts are processed through Stripe Connect. By using the Platform, you agree to Stripe's Terms of Service. SAASAF.AI is not responsible for payment delays caused by Stripe or banking institutions.
SAASAF.AI charges a 5% platform transaction fee on all commissions processed through the Platform. This fee is deducted before funds are disbursed to resellers.
In the event of a disputed commission, SAASAF.AI may mediate but is not liable for the outcome of vendor-reseller payment disputes.
All Platform content, design, code, and branding are the intellectual property of SAASAF.AI, LLC. You may not reproduce, distribute, or create derivative works from Platform content without written permission.
Vendors retain ownership of all product content, collateral, and materials uploaded to the Platform. By uploading content, you grant SAASAF.AI a non-exclusive license to display and distribute that content to approved resellers.
You may not use the Platform to:
Violation of these prohibitions may result in immediate account suspension and legal action.
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. WE MAKE NO WARRANTY REGARDING THE ACCURACY OF VENDOR LISTINGS OR THE QUALITY OF RESELLER PERFORMANCE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAASAF.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any conduct we determine to be harmful to the Platform or its users. You may terminate your account at any time by contacting us at info@saasaf.ai.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Broward County, Florida, except where prohibited by law.
